1. Introduction

These Terms of Service ("Terms") govern your access to and use of the services, websites, and communication systems provided by Digital Checkmark LLC ("Digital Checkmark", "we", "our", or "us"), a U.S.-based managed service provider (MSP) offering IT management, cybersecurity, automation, and AI integration services.

2. Acceptance of Terms

By accessing or using any of our services, including communications through WhatsApp or other automation systems, you agree to be bound by these Terms. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization.

3. Services Provided

Digital Checkmark provides managed IT, cybersecurity, cloud, compliance, and automation services within the United States. These services are offered under contracts or service agreements specific to each client. WhatsApp Business communications are used solely for legitimate business purposes such as alerts, notifications, or client updates.

4. Use Restrictions

You agree not to misuse our systems or services, including but not limited to:

• Sending unsolicited or spam messages.
• Attempting to breach security or access systems without authorization.
• Interfering with the operation of our automation or notification systems.
• Using our WhatsApp Business connection for unlawful or misleading activities.

5. Data Privacy and Security

Your use of our services is also governed by our Privacy Policy. We implement industry-standard measures to safeguard information handled through our infrastructure, including encryption, access control, and secure automation workflows.

6. Service Availability and Modifications

We strive to maintain uptime and reliability across all Digital Checkmark systems; however, we may temporarily suspend services for maintenance, updates, or security reasons. We reserve the right to modify or discontinue parts of our services with prior notice where feasible.

7. Limitation of Liability

To the maximum extent permitted by U.S. law, Digital Checkmark shall not be liable for indirect, incidental, or consequential damages, loss of profits, or data resulting from the use or inability to use our services, even if advised of such damages in advance.

8. Indemnification

You agree to indemnify and hold harmless Digital Checkmark, its employees, contractors, and affiliates from any claims or damages arising from your misuse of our services or violation of these Terms.

9. Intellectual Property

All materials, automation scripts, and designs created by Digital Checkmark remain our intellectual property unless otherwise stated in a signed contract. Clients may not resell or redistribute our proprietary automation flows or code without consent.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes shall be resolved in the courts located in Hillsborough County, Florida.
